These Terms & Conditions (“Terms”) govern your access to and use of the website located at webelites.net (the “Site”), as well as any services provided by WebElites L.L.C. (“we,” “us,” “our,” or “WebElites”), a New York limited liability company, including website design, development, digital marketing, consulting, and related services (collectively, the “Services”).

By accessing or using the Site, submitting inquiries, opting into communications, or engaging our Services (even without a signed contract), you agree to these Terms. If you do not agree, do not use the Site or Services. These Terms may be updated; continued use constitutes acceptance.

2. SMS/Mobile Messaging Terms

If you provide your mobile number and opt in (e.g., via form checkbox, keyword text like “JOIN”, or explicit agreement), you consent to receive recurring automated promotional and/or informational SMS/MMS messages from WebElites L.L.C. Messages may include service updates, marketing offers, project reminders, promotions, account notifications, and responses to inquiries. Message frequency varies (typically 1–8 per month; not guaranteed). Consent is voluntary and not a condition of purchase or service.

Opt-In: Occurs through clear methods with notice (e.g., unchecked checkbox on forms with this language: “I consent to receive recurring automated SMS from WebElites L.L.C. at the number provided. Msg & data rates may apply. Reply STOP to opt out.”). We obtain prior express written consent for automated/marketing texts per TCPA.

Opt-Out: Reply STOP to any message to unsubscribe. You will receive one confirmation message. No further messages except confirmation. Opt-out honored within 10 business days. Alternatively, email [email protected].

3. Use of the Site

Portfolio examples and case studies are for illustrative purposes only. They do not constitute advice, guarantees, warranties, or endorsements. We disclaim all liability for any unauthorized use, copying, modification, or reliance on portfolio content by third parties. Unauthorized reproduction may violate copyright laws.

4. Services

Services are provided as described in project proposals, statements of work (SOW), or client agreements. We rely on your timely provision of content, feedback, and approvals. Delays from your side may impact timelines. We are not responsible for third-party platforms (e.g., hosting, plugins) unless specified.

5. Intellectual Property

We retain ownership of pre-existing tools, templates, code libraries, and reusable components (“Developer Properties”).

Upon full payment for a project, we grant you a non-exclusive, perpetual license to use the final custom deliverables (e.g., website design/code) for your internal business purposes.

You warrant that materials you provide (content, images, logos) do not infringe third-party rights.

We own rights to any original work created unless a signed agreement states otherwise.

6. Payments

Fees are as quoted in proposals/SOW. Deposits (often 50%) are required to start; milestones and final payment due as specified. Late payments may incur 1.5% monthly interest. All fees are non-refundable except as expressly stated. We may suspend work for non-payment.

7. Revisions and Changes

Limited revisions are typically included (e.g., 2–3 rounds per phase). Additional changes or scope expansions may incur fees. All changes should be documented in writing.

8. Disclaimers and Limitation of Liability

Services and Site are provided “as is” without warranties of any kind (express or implied), including fitness for a particular purpose or non-infringement. We do not guarantee specific results (e.g., SEO rankings, traffic, sales).

To the fullest extent permitted by law, our total liability is limited to the amount you paid us for the specific Services in the preceding 12 months. We are not liable for indirect, consequential, incidental, special, or punitive damages, lost profits, data loss, or third-party claims.

9. Termination

We may terminate or suspend access/Services for breach (with notice where required). Upon termination, you pay for completed work; access may be revoked until paid.

10. Governing Law and Disputes

These Terms are governed by New York law (without regard to conflict of laws). Any disputes shall be resolved exclusively in the state or federal courts located in New York County, New York. You agree to submit to the personal jurisdiction of those courts.

11. Miscellaneous

These Terms, together with any signed project agreements and our Privacy Policy, constitute the entire agreement.

If any provision is invalid, the remainder remains enforceable.

No waiver of any breach constitutes a waiver of subsequent breaches.

We are not liable for delays due to events beyond our control (force majeure).
